  • “Services” means information security consulting (CISO-as-a-Service), due diligence support, managed IT services (IT-as-a-Service), managed security services (Cybersecurity-as-a-Service), and/or value-added reseller (VAR) offerings offered by DEW Diligence.

 

3) Website Purpose: No Professional Advice

The Website is provided for general informational purposes. Nothing on the Website constitutes legal, financial, accounting, compliance, or other professional advice.

 

No client relationship. Your use of the Website does not create a client, advisory, fiduciary, or professional-services relationship with DEW Diligence. Any Services are provided only pursuant to a separately executed written agreement (e.g., MSA/SOW, reseller agreement, or other contract).

 

4) Eligibility

You must be at least 18 years old to use the Website. By using the Website, you represent and warrant that you meet this requirement.

 

5) License; Acceptable Use

5.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful informational and internal business purposes, subject to these Terms.

You agree not to, and not to attempt to:

  • Probe, scan, test the vulnerability of, or breach the security or authentication measures of the Website or any related systems or networks.

  • Interfere with or disrupt the Website (including by introducing malware, code, or other harmful components).

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, trade secrets, or underlying ideas of the Website or any software provided on it, except to the extent such restrictions are prohibited by law.

  • Use the Website to impersonate any person or entity, misrepresent your affiliation, or transmit false or misleading information.

  • Use the Website in a manner that infringes, misappropriates, or violates any intellectual property or other rights.

 

We may take any action we deem appropriate (including blocking IPs, rate limiting, suspending access, or pursuing legal remedies) to enforce these Terms.

If you submit feedback, ideas, suggestions, or other materials, you grant DEW Diligence a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and otherwise exploit such submissions for any purpose, without compensation to you. Do not submit confidential information through the Website.

 

10) Security and Vulnerability Reporting

We appreciate responsible disclosure. Do not perform testing that violates Section 5.2. If you believe you have found a security vulnerability, contact us at legal@dew-diligence.com with sufficient detail for us to investigate.

 

11) Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.

 

12) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DEW DILIGENCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

TO THE FULLEST EXTENT PERMITTED BY LAW, DEW DILIGENCE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO DEW DILIGENCE FOR WEBSITE ACCESS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (IF ANY).

 

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

13) Indemnification

You agree to indemnify, defend, and hold harmless DEW Diligence and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Website; (b) your violation of these Terms; or (c) your violation of any rights of another.

 

14) Privacy

Your use of the Website is also subject to our Privacy Policy, which is incorporated by reference.

 

15) Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason (including suspected violations of these Terms). Sections that by their nature should survive termination will survive.

 

16) Governing Law; Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. You agree that any dispute not subject to exclusive federal jurisdiction will be brought in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue there.

 

17) Severability; Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver.

 

18) Entire Agreement

These Terms (together with the Privacy Policy and any other policies expressly incorporated) constitute the entire agreement between you and DEW Diligence regarding the Website and supersede any prior or contemporaneous understandings.
